Welcome to Airhead Institute. These Terms of Service ("Terms") govern your access to and use of the websites, content, platform, and services (collectively, the "Services") provided by Airhead Institute LLC, a Nevada limited liability company ("Airhead Institute," "we," "us," or "our").

By accessing or using our Services, you ("User," "you") agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use our Services.

1. User Eligibility and Accounts

1.1. Age Requirements

To use our Services, you must be at least 18 years of age or the age of legal majority in your jurisdiction.

Users Under 18:

  • Users between 13 and 18 (or the age of legal majority) may use the Services only with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms.

  • Users under 13 ("Children"): Our "Airhead After School" program is designed for children. If you are a parent or guardian creating an account for a Child, you must create the account on their behalf, provide verifiable parental consent (as described in our Privacy Policy), and you hereby agree to these Terms on your Child's behalf.

1.2. Account Ownership and Responsibility

The account belongs to the student or adult who is the primary user. If you are a parent or guardian paying for an "Airhead Institute Pro" account for your child, you are the party legally bound to the payment obligations, but the account profile belongs to the student.

You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

2. Subscriptions, Payments, and Refunds

2.1. Plans

We offer a free plan ("Airhead Institute Free") and a paid subscription plan ("Airhead Institute Pro"). Features are described on our website.

2.2. Billing

By purchasing an "Airhead Institute Pro" plan (either monthly or annual), you agree to pay the subscription fees at the rates in effect when the charges are incurred. You will be billed in advance on a recurring and periodic basis (a "Billing Cycle").

2.3. No Refunds

All payments are non-refundable. We do not provide refunds or credits for any partial subscription periods or unused content.

2.4. Cancellation

You may cancel your "Pro" subscription at any time. The cancellation will take effect at the end of your current Billing Cycle, at which point your account will be downgraded to the "Airhead Institute Free" plan. Annual plans are a one-year commitment and cannot be canceled for a pro-rata refund mid-term.

3. User-Generated Content

As part of our Services (e.g., the "Airhead After School" Missions), you may create, upload, or submit content such as projects, code, text, or images ("User Content").

You retain all ownership rights to your original User Content.

However, by submitting User Content to the Services, you grant Airhead Institute LLC a perpetual, irrevocable, worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such User Content in connection with operating and promoting the Services, including but not limited to for marketing and promotional purposes.

4. User Conduct

You agree not to use the Services to:

  • Violate any law or regulation.

  • Harass, abuse, stalk, or defame any person.

  • Post or transmit any content that is false, misleading, pornographic, or obscene.

  • Spam, or send unsolicited advertising.

  • Upload any viruses, malware, or other malicious code.

  • Attempt to reverse-engineer or gain unauthorized access to our systems.

5. Guests, Affiliates, and Third-Party Content

Our Services, including the "Airhead Institute Show," may feature content from or interviews with guests, affiliates, or other third parties. The thoughts, ideas, and opinions expressed by these parties are their own and do not necessarily reflect the views of Airhead Institute LLC. We do not endorse, and are not responsible for, any content, claims, or advice provided by such third parties.

6. User Communications

You may communicate with us or other users through various mediums, including but not limited to our platform's posts, chatbot, email, Zoom, WhatsApp, or phone. You agree that these communications may be moderated and stored by us for our business operations, including for quality assurance, training, and record-keeping, as further detailed in our Privacy Policy.

7. Termination

We reserve the right to terminate or suspend your account and access to the Services, immediately and without prior notice or liability, for any reason whatsoever, including but not limited to, a breach of these Terms, non-payment of subscription fees, or any activity that is harmful to our community or business.

8. Disclaimers and Limitation of Liability

8.1. Content Disclaimer

All content provided through our Services is for informational and educational purposes only. It is not intended as, and shall not be construed as, financial, investment, legal, professional, or other advice.

8.2. AI Disclaimer

Our Services teach about Artificial Intelligence tools. You acknowledge that AI is a rapidly changing field, and the tools and methods discussed may be imperfect, contain errors, or produce inaccurate results. Airhead Institute is not responsible or liable for the accuracy, effectiveness, or results of using any AI tools or techniques discussed in our Services.

8.3. "AS IS" Service

The Services are provided "AS IS" and "AS AVAILABLE" without any warranties, express or implied.

8.4. Limitation of Liability

To the fullest extent permitted by law, Airhead Institute LLC shall not be liable for any indirect, incidental, special, or consequential damages, or any loss of profits or revenues, arising out of your use of the Services.

9. Dispute Resolution and Governing Law

9.1. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law provisions.

9.2. Binding Arbitration

You and Airhead Institute LLC agree that any dispute, claim, or controversy arising out of these Terms shall be resolved through final and binding arbitration conducted in Las Vegas, Nevada.

9.3. Waiver of Class Action

You agree that any claims must be brought in your individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding.
